RBI & SEBI Regulatory Updates

The RBI released Draft Directions in May 2025 reshaping how regulated entities can invest in AIFs.

Individual Cap
10% Individual Exposure Cap

Each regulated entity — bank or NBFC — may invest up to 10% of an AIF scheme's total corpus, reducing concentration risk and ensuring diversified participation.

Collective Limit
15% Collective Exposure Limit

All regulated entities together cannot invest more than 15% in a single AIF scheme — preventing heavy dependency and boosting portfolio-wide risk distribution.

Exemption
5% Investment Exemption Rule

Regulated entities whose investment is less than 5% of the AIF corpus are exempt from provisioning rules, promoting first-time or limited participation.

Provisioning
100% Provisioning for Debt Exposure

If a bank/NBFC invests more than 5% in an AIF that grants loans to a company already indebted to them, 100% provisioning as a safety buffer is required.

Special Exemptions
Strategic AIF Exemptions

AIFs aligned with national goals — ESG, infrastructure, or defence — may receive special exemptions from regular investment rules if the RBI and Government approve.

Grandfathering
Protection for Existing Investments

What is AIF Registration in India?

AIF Registration is the process of obtaining SEBI approval to operate as an Alternative Investment Fund. An AIF is a privately pooled investment vehicle that collects funds from investors and invests in alternative assets such as private equity, hedge funds, venture capital, startups and real estate.

How long does the AIF Registration process take?
+

The process takes between 90 and 180 days — from fund structuring to the Certificate of Registration. SEBI responds within 21 working days of application submission. Our consultants minimise delays at every stage.

What is the minimum corpus required for AIF Registration?

The minimum corpus is ₹20 crore for Category I, II and III AIFs. Angel Funds under Category I require ₹10 crore. If set up by Accredited Investors, the minimum is ₹10 crore. Individual Angel investors need ₹2 crore; corporate Angel investors need ₹10 crore net worth.

Who regulates Alternative Investment Funds in India?

SEBI (Securities and Exchange Board of India) regulates AIFs under the SEBI (Alternative Investment Funds) Regulations, 2012. SEBI was established in 1992 to protect investor interests and regulate India's securities market.

Which entities are NOT eligible for AIF Registration?

Entities not eligible include: family trusts, ESOP trusts, employee welfare/gratuity trusts, holding companies, SPVs not set up by fund managers, securitisation trusts under SARFAESI Act, and any pooled fund regulated by a regulator other than SEBI.

What are the latest RBI updates for banks investing in AIFs (2025)?
